Who owns the source code and IP for our MERN SaaS?

You own 100% of the source code, MongoDB schemas, API designs, and all intellectual property from the first commit. IP transfer is agreed in writing before kick-off. The NDA is signed before any technical discussion, not after. We never hold code over payment disputes. All three engagement models (dedicated, fixed price, T&M) carry the same IP terms.
